1. Introduction
These Terms and Conditions (“Terms”) govern access to and use of the KOVR platform, including all related applications, websites, and services (collectively, the “Platform”).
The Platform is operated by KOVR Staffing Inc. (“KOVR”, “we”, “us”, or “our”), a federally incorporated company in Canada.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Definitions
- “Employer” – An individual or organization that posts work opportunities or shifts.
- “Worker” – An independent contractor who applies for or performs work through the Platform.
- “User” – Any person or entity accessing the Platform.
- “Shift” – A work opportunity posted by an Employer.
- “Services” – The technology and tools provided by KOVR.
3. Platform Role & No Employment Relationship
KOVR is a technology platform only.
KOVR:
- Does not employ Workers
- Does not act as an employer, staffing agency, or payroll provider
- Does not supervise or control work performance
All Workers operate as independent contractors. Nothing in these Terms creates:
- An employment relationship
- A partnership
- An agency relationship
- A joint venture
Any employment or contractual relationship exists solely between the Employer and the Worker.
4. Eligibility
To use the Platform, you must:
- Be 18 years of age or older
- Have legal capacity to enter binding agreements
- Provide accurate and truthful information
KOVR may suspend or deny access at its discretion.
5. User Accounts
Users must create an account to access certain features.
You agree to:
- Keep login credentials secure
- Maintain accurate account information
- Notify KOVR of unauthorized access
KOVR is not responsible for losses caused by unauthorized account use.
6. Worker Verification & Background Checks
KOVR may facilitate:
- Identity verification
- Background or police checks
- Credential uploads
- Interviews or screening processes
Important limitations:
- Verification does not guarantee suitability, skill, or conduct
- Employers retain full responsibility for hiring decisions
- Workers remain responsible for maintaining valid licenses and certifications
KOVR stores verification data but does not assume employer obligations.
7. Employer Responsibilities
Employers are solely responsible for:
- Hiring decisions
- Work conditions and supervision
- Workplace safety
- Compliance with employment, tax, and safety laws
- Payment of Workers (unless payment services are enabled)
8. Payments & Fees
8.1 Current Payment Model
At present:
- KOVR does not process payments
- KOVR does not handle payroll
- Payments are handled externally by Employers or third parties (e.g. Groom)
8.2 Future Payment Services
KOVR may introduce in-app payment functionality in the future.
If enabled:
- Additional terms will apply
- Payments may be processed via third-party providers (e.g. Stripe, PayPal)
- KOVR may collect platform or service fees
- Payment timelines and dispute processes will be disclosed
KOVR is not obligated to provide payment services.
9. Fees & Pricing
Employer fees are governed by separate commercial agreements.
Workers are not charged fees unless explicitly disclosed.
10. Conduct & Prohibited Use
Users may not:
- Misrepresent identity or credentials
- Violate laws or regulations
- Harass, abuse, or discriminate
- Circumvent platform safeguards
- Use the Platform for unlawful purposes
11. Account Suspension & Termination
KOVR may suspend or terminate accounts immediately for:
- Fraud
- Abuse
- Misrepresentation
- Security threats
- Policy violations
Employers may remove Workers from shifts at their discretion.
12. Intellectual Property
All Platform content, software, and branding are owned by KOVR or its licensors.
Users are granted a limited, non-exclusive, revocable license to use the Platform.
13. Limitation of Liability
To the maximum extent permitted by law, KOVR is not liable for:
- Worker performance
- Attendance failures
- Workplace injuries
- Wage disputes
- Employer–Worker conflicts
KOVR’s total liability is limited to fees paid to KOVR in the previous 12 months.
14. Indemnification
Users agree to indemnify and hold harmless KOVR from claims arising from:
- Platform use
- Legal violations
- Breach of these Terms
15. Governing Law
These Terms are governed by the laws of Canada, without regard to conflict-of-law rules.
16. Changes to Terms
KOVR may update these Terms at any time. Continued use constitutes acceptance.
